Welcome to SpeakWithImpact. These Terms and Conditions ("Terms") govern your access to and use of our website, services, and coaching programs. By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing speakwithimpact.online, booking a consultation, or enrolling in our coaching programs, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

SpeakWithImpact provides professional coaching services including:

• Interview preparation and coaching
• Public speaking training
• Professional communication skills development
• Career development coaching
• One-on-one and group coaching sessions
• Online and in-person coaching programs

Our services are educational and developmental in nature. We do not guarantee employment outcomes, interview success, or specific performance results.

3. Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration

To access certain features of our services, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Booking and Scheduling

5.1 Session Booking

Coaching sessions must be booked in advance through our website, email, or phone. We will confirm your booking via email with session details, date, time, and access information for virtual sessions.

5.2 Rescheduling

You may reschedule a session by providing at least 24 hours' notice before the scheduled session time. Rescheduling requests must be made via email to [email protected] or by phone at +1 360 893 3278.

5.3 Cancellation by Client

Cancellations made with less than 24 hours' notice will be considered a used session and no refund or credit will be provided. Cancellations made with at least 24 hours' notice will be credited to your account for future use.

5.4 Cancellation by SpeakWithImpact

We reserve the right to cancel or reschedule sessions due to coach illness, emergency, or other unforeseen circumstances. In such cases, we will provide as much notice as possible and work with you to reschedule at no additional cost.

6. Payment Terms

6.1 Pricing

Current pricing for our services is displayed on our website. Prices are subject to change, but changes will not affect bookings already confirmed and paid for.

6.2 Payment Methods

We accept payment via credit card, debit card, and other payment methods as indicated during the booking process. Payment is required at the time of booking unless otherwise arranged.

6.3 Package Programs

Multi-session coaching packages must be used within 12 months of purchase unless otherwise specified. Unused sessions after this period will expire without refund.

6.4 Late Payment

If payment is not received by the due date, we reserve the right to cancel your scheduled sessions and suspend access to services until payment is received.

7. Refund Policy

Our refund policy is detailed in our separate Refund Policy document. Please review it carefully before purchasing services. Generally:

• Free consultation sessions are non-refundable as they have no cost
• Single session bookings are refundable if cancelled with at least 24 hours' notice
• Multi-session packages may be partially refundable for unused sessions within specified timeframes

8. Client Responsibilities

As a client, you agree to:

• Attend sessions punctually at scheduled times
• Come prepared with materials or information requested by your coach
• Actively participate in coaching exercises and activities
• Complete any homework or practice assignments between sessions
• Provide honest feedback about your progress and challenges
• Treat coaches and staff with respect and professionalism
• Ensure you have appropriate technology and internet connection for virtual sessions

9. Intellectual Property

9.1 Our Content

All content on our website and provided during coaching sessions, including text, graphics, logos, images, audio, video, software, and materials (collectively "Content") is the property of SpeakWithImpact or its licensors and is protected by copyright, trademark, and other intellectual property laws.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our Content solely for your personal, non-commercial use in connection with our coaching services.

9.3 Restrictions

You may not:

• Copy, modify, distribute, or create derivative works from our Content
• Use our Content for commercial purposes
• Remove copyright or proprietary notices
• Record, photograph, or screenshot coaching sessions without prior written consent
• Share coaching materials with third parties
• Use our trademarks or branding without permission

10. Confidentiality

We maintain confidentiality regarding information you share during coaching sessions, except:

• Where disclosure is required by law
• Where you provide consent to share information
• Where disclosure is necessary to prevent harm to yourself or others
• For anonymous testimonials or case studies (with identifying information removed)

You agree to maintain confidentiality regarding proprietary coaching methods, materials, and content shared during sessions.

11. Disclaimers

11.1 No Guarantee of Results

While we strive to provide high-quality coaching services, we cannot guarantee specific outcomes, including but not limited to: job offers, interview success, salary increases, or career advancement. Results depend on multiple factors including your effort, practice, market conditions, and circumstances beyond our control.

11.2 Not a Substitute for Professional Advice

Our coaching services are educational and developmental. They do not constitute legal, financial, medical, or psychological advice. If you need professional advice in these areas, please consult appropriate licensed professionals.

11.3 Service Availability

We strive to maintain uninterrupted service availability but do not guarantee that our website or services will be available at all times. We may suspend services temporarily for maintenance, updates, or due to circumstances beyond our control.

12. Limitation of Liability

To the fullest extent permitted by law:

• SpeakWithImpact shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for services in the six months preceding the claim
• We are not liable for any loss or damage resulting from your failure to follow coaching advice, complete assignments, or practice skills
• We are not responsible for technical issues with your equipment or internet connection

13. Indemnification

You agree to indemnify, defend, and hold harmless SpeakWithImpact, its officers, directors, employees, and coaches from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use of our services
• Your violation of any rights of another party
• Any content or information you provide

14. Termination

We reserve the right to terminate or suspend your access to our services immediately, without prior notice, if you breach these Terms or engage in conduct we deem inappropriate or harmful. Upon termination:

• Your right to use our services ceases immediately
• We may delete your account and information
• Refunds will be handled according to our Refund Policy
• Sections of these Terms that by nature should survive termination shall survive

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Missouri, United States, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved through:

• Good faith negotiation between the parties
• If negotiation fails, binding arbitration in accordance with the American Arbitration Association rules
• Arbitration shall take place in Missouri
• Each party shall bear its own costs

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and SpeakWithImpact regarding our services and supersede all prior agreements and understandings.
